1. Acceptance of Terms

By using Spendmix, you confirm that you're at least 18, you have the authority to act on behalf of your company, and you agree to follow these terms. If you don't agree, please don't use the platform. We may update these terms occasionally -- continued use means you accept the changes.

2. Description of Service

Spendmix is a self-serve Marketing Mix Modeling platform. You connect your ad and analytics data, run Bayesian media mix models, and get budget optimization recommendations. It's a cloud-based SaaS product.

3. Account Registration

You'll need to create an account with accurate info. Once you do, you're responsible for:

• Keeping your login credentials secure
• Everything that happens under your account
• Letting us know right away if someone accesses your account without permission
• Keeping your account info up to date

4. Acceptable Use

Don't use Spendmix to:

• Break any laws or violate anyone else's rights
• Upload malware, viruses, or anything harmful
• Try to access other users' accounts or our internal systems
• Reverse engineer or take apart any part of the platform
• Scrape or crawl data beyond what our API allows
• Resell or redistribute Spendmix without our written OK

5. Intellectual Property

Spendmix owns the platform -- the software, design, docs, and branding. Your data is yours. You keep full ownership of everything you upload.

While your subscription is active, we give you a license to use the platform for your own business. You can't modify, distribute, or build derivative products from it.

6. Data Processing

When you connect your data sources, you're giving us permission to access and process the marketing data we need to run the models. You're confirming that you have the right to share this data and that it doesn't violate any agreements you have with third parties. How we handle personal data is covered in our Privacy Policy.

7. Payment Terms

Spendmix is subscription-based. Here's how billing works:

• Billing cycle: You're billed monthly or annually in advance, depending on the plan you pick.
• Auto-renewal: Your subscription renews automatically unless you cancel before the renewal date.
• Cancellation: Cancel anytime. Your access continues until the end of your current billing period. We don't offer partial refunds.
• Price changes: We'll give you at least 30 days' notice before any price increase. Continuing to use Spendmix after that means you accept the new price.

8. Limitation of Liability

To the extent the law allows, Spendmix isn't liable for indirect, incidental, or consequential damages -- including lost profits, lost data, or missed business opportunities -- that come from using the platform.

Our total liability for any claim under these terms is capped at what you've paid us in the 12 months before the claim. The platform is provided "as is" without warranties of any kind.

9. Termination

Either side can end this agreement at any time. You can cancel your subscription and close your account whenever you want. We can suspend or cut off access immediately if you violate these terms or put the platform's security at risk. Once terminated, you lose access, and we'll delete your data per our Privacy Policy.

10. Governing Law

These terms are governed by the laws of the State of Delaware, USA. Any disputes will be resolved in the federal or state courts in Delaware.
